Licensing Terms

This page summarises the key terms governing the use of SDX licensed content. The full legal text is available in the SDX Licensed Content Agreement provided at the time of purchase.

Licence grant

SDX grants licensed content buyers a non-exclusive, non-transferable, revocable licence to use the purchased products for their own internal business purposes during the subscription term.

Permitted uses

Licensed content may be used for:

  • Internal analysis — Portfolio benchmarking, risk assessment, investment screening, and research.
  • Internal reporting — Board presentations, internal dashboards, and management reports.
  • Derived works — Creating indices, scores, or models that incorporate SDX data, provided the underlying SDX data is not extractable from the derived work.

Restrictions

Licensed content may not be used for:

  • Redistribution — You may not share, resell, sublicense, or distribute SDX licensed content to third parties in its raw or substantially similar form.
  • Reverse engineering — You may not attempt to identify individual buildings from anonymised data.
  • Competitive products — You may not use licensed content to build a product that directly competes with SDX licensed content offerings, unless you have a re-licensing agreement.
  • Public disclosure — You may not publish SDX data in public reports, press releases, or marketing materials without prior written approval from SDX.

Re-licensing

If you want to redistribute or incorporate SDX data into a product you sell to others, you need a re-licensing agreement. Re-licensing arrangements are negotiated individually. Contact licensing@sdx.dev to discuss.

Common re-licensing scenarios:

  • Index providers — Incorporating SDX data into a published ESG index
  • Consultancies — Including SDX benchmarks in client deliverables
  • Software platforms — Displaying SDX market data in a SaaS product

Data contributor access

Data contributors (building owners and their representatives) receive licensed content free for their own internal use. This access is governed by the SDX Contributor Agreement, not the Licensed Content Agreement.

Contributors may use licensed content to:

  • View how their portfolio compares to market benchmarks
  • Include aggregate data in internal reports and board presentations
  • Inform investment and operational decisions

Contributors may not redistribute licensed content to third parties without a re-licensing agreement, just as buyers may not.

Term and termination

  • Subscription term — Licensed content subscriptions are annual, renewing automatically unless cancelled 60 days before the renewal date.
  • Termination — Either party may terminate with 60 days written notice. Upon termination, the buyer must destroy all copies of licensed content within 30 days.
  • Survival — Confidentiality and restriction clauses survive termination for 2 years.

Data quality disclaimer

SDX provides licensed content on an "as is" basis. While SDX applies rigorous data quality checks, it does not guarantee the accuracy, completeness, or fitness of licensed content for any particular purpose. Buyers should perform their own due diligence before making investment or risk decisions based on SDX data.

Confidentiality

Licensed content is confidential information. Buyers must protect it with the same degree of care they apply to their own confidential information, and no less than a reasonable standard of care.

Audit rights

SDX reserves the right to audit a buyer's use of licensed content to verify compliance with the licensing terms. Audits are conducted no more than once per year with reasonable advance notice.
